The thesis analyses the internal and external institutions of corporate control of business corporations in Germany and the US with special regard to the differences of one-tier and two-tier boards. The practical implications of these are examined with respect to the DAX 30 companies and their US counterparts. This analysis is supplemented by a description of the historical development of theses institutions. Furthermore, the efficiency of external institutions of control in Germany and the US is reviewed. Hereby the strengths and weaknesses of the two systems are highlighted. Finally, an analysis of the SE which has been providing an alternative form of corporate governance in Germany for the last ten years, including a one-tier board system, makes clear that there is increasing demand for leaner corporate governance structures in Germany.
