This book is the first attempt of transferring the discussion of 'compliance-organisations' from the Aktiengesellschaft (stock corporation) to the GmbH (limited liability company). As such the analysis is of enormous interest not only for legal sciences but also for business economics. At the outset the author determines the liability risks of the company bodies in regard of organisational fault. On this basis he delivers long awaited answers to the question of how to arrange an organisation of compliance within the limited liability company. Moreover, the book offers numerous new legal approaches to central legal problems of the compliance discussion such as contractual compliance clauses, consequences of a corporate criminal law, liability of management board members for company fines, causality and ascertainment of loss in regard of violating compliance-rules. Ultimately, concrete legislative proposals for improving the organisational law are made.
